1. Acceptance of Terms
Welcome to Slate. These Terms of Use (“Terms”) constitute a legally binding agreement between you and Slate Financial Technologies Inc., a British Columbia corporation (“Slate”), and Dropp Labs, Inc., a Delaware corporation (“Dropp Labs”) (together with “we,” “us,” or “our”). Slate operates the Services for users in Canada. Dropp Labs operates the Services for users in the United States. Slate is a wholly owned subsidiary of Dropp Labs.
By accessing or using our website, mobile application, or services (collectively, the “Services”), you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.
Scope of These Terms: These Website Terms of Use govern your general use of the Slate website (tryslatehq.com) as a visitor or browser. If you are a Platform Partner using Slate’s platform services, a Merchant who has entered into a Merchant Cash Advance Agreement, or a Worker who has entered into a Future Earnings Purchase Agreement, your use of those services is governed by the applicable Terms and Conditions and your Agreement, which take precedence over these Website Terms of Use in the event of any conflict.
2. Description of Services
Slate provides embedded capital infrastructure that enables platforms to offer capital products to their business and individual customers. Our services include:
- Embedded Capital Solutions: White-labeled capital products that integrate into your platform, allowing you to offer receivables purchase services, future earnings purchase services, and working capital solutions to your customers
- API and Integration Tools: Developer-first APIs, SDKs, and white-label UI components for building and deploying capital solutions
- Ready-to-Launch Solutions: Turnkey capital infrastructure including frontend and backend systems that can be deployed with minimal development effort
- Dashboard and Monitoring: Tools for tracking applications, user engagement, and integration performance
- Capital Products: Working capital solutions, receivables purchase services, and future earnings purchase services for Canadian businesses and individuals; merchant cash advance products for U.S. businesses
Important: Slate’s capital products are structured as purchase transactions, not loans. Depending on the product:
- A business sells a portion of its future receivables in exchange for immediate capital. This is a true sale of assets, not a debt or loan. For full details, see the applicable Master Terms (Canadian: tryslatehq.com/legal/mca-terms; U.S.: tryslatehq.com/legal/us/mca-terms) and the applicable Terms and Conditions of Use.
- An individual sells a specified dollar amount of future platform earnings in exchange for immediate capital. This is a true sale of future earnings, not a debt or loan. Slate offers two variants in Canada only: the standard FEPA (tryslatehq.com/fepa-master-contract) and the Earned Wage Advance FEPA (tryslatehq.com/ewa-master-contract). FEPA products are not currently offered in the United States. For full details, see the applicable Master Terms and Consumer Terms and Conditions.
The specific features and functionality available to you may vary based on your platform type, integration method, account type, jurisdiction, and applicable regulations. Our services are currently available to platforms serving business and individual customers in Canada (Merchant Cash Advance and Future Earnings Purchase Agreement products) and to platforms serving business customers in the United States (Merchant Cash Advance product only). Future Earnings Purchase Agreement products are not currently offered in the United States.
3. Eligibility
To use our Services, you must:
- Be at least 18 years of age (or the age of majority in your jurisdiction)
- Have the legal capacity to enter into binding contracts
- Not be prohibited from using the Services under applicable laws
- Provide accurate and complete registration information
By using our Services, you represent and warrant that you meet these eligibility requirements.
4. Account Registration and Security
Account Creation: You may be required to create an account to access certain Services. You agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Notify us immediately of any unauthorized access or security breach
Account Responsibility: You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.
5. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Violate any applicable laws, regulations, or third-party rights
- Use the Services for fraudulent or illegal activities
- Transmit viruses, malware, or other harmful code
- Attempt to gain unauthorized access to our systems or networks
- Interfere with or disrupt the Services or servers
- Impersonate any person or entity or misrepresent your affiliation
- Scrape, harvest, or collect user information without consent
- Use automated systems (bots, scrapers) without our written permission
- Engage in any activity that could damage our reputation or business
We reserve the right to suspend or terminate your account for violations of these Terms.
6. Financial Services and Transactions
Payment Processing: If you use our payment processing services, you agree to:
- Provide accurate payment information
- Pay all applicable fees and charges
- Comply with payment card network rules and regulations
- Authorize us to charge your designated payment method
Fees: All fees are disclosed prior to processing transactions. Fees are non-refundable except as required by law or expressly stated in these Terms.
Currency: Transactions may be processed in Canadian Dollars (CAD), U.S. Dollars (USD), or other currencies as specified. Currency conversion rates, if applicable, will be disclosed at the time of transaction.
7. Intellectual Property Rights
Our Property: The Services, including all content, features, functionality, software, designs, text, graphics, logos, and trademarks, are owned by Slate Financial Technologies Inc. and protected by copyright, trademark, and other intellectual property laws.
License: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal or internal business purposes.
Restrictions: You may not:
- Copy, modify, distribute, or create derivative works from our content
- Reverse engineer, decompile, or disassemble any software
- Remove or alter any proprietary notices
- Use our trademarks or branding without written permission
User Content: You retain ownership of any content you submit through the Services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content to provide and improve the Services.
8. Third-Party Services and Links
Our Services may contain links to third-party websites or integrate with third-party services. We do not control and are not responsible for the content, privacy policies, or practices of third parties. Your use of third-party services is at your own risk and subject to their terms and conditions.
9. Privacy and Data Protection
Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy (/privacy), which is incorporated into these Terms by reference. By using the Services, you consent to our data practices as described in the Privacy Policy.
If you apply for or use our capital products, our unified Privacy Policy describes the additional data practices that apply (categorized by product type and jurisdiction). For Canadian users, additional details are also covered by Slate’s Data Collection and Use Policy and Consumer Data Collection and Use Policy where applicable.
10. Disclaimers and Warranties
AS IS BASIS: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
NO GUARANTEE: We do not warrant that:
- The Services will be uninterrupted, secure, or error-free
- Defects will be corrected
- The Services are free of viruses or harmful components
- Results obtained from the Services will be accurate or reliable
Financial Information: Any financial information provided through the Services is for informational purposes only and does not constitute financial, investment, or legal advice. You should consult with qualified professionals before making financial decisions.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SLATE FINANCIAL TECHNOLOGIES INC., DROPP LABS, INC., AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
- DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICES
- UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
- STATEMENTS OR CONDUCT OF THIRD PARTIES
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 (IN CAD FOR CANADIAN USERS, IN USD FOR U.S. USERS), WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.
12. Indemnification
You agree to indemnify, defend, and hold harmless Slate Financial Technologies Inc., Dropp Labs, Inc., and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any rights of third parties
- Your violation of applicable laws or regulations
13. Modifications to Services and Terms
Service Changes: We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Services.
Terms Changes: We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after changes constitutes acceptance of the modified Terms.
14. Termination
By You: You may terminate your account at any time by contacting us at [email protected].
By Us: We may suspend or terminate your access to the Services immediately, without prior notice, for:
- Violation of these Terms
- Fraudulent, illegal, or harmful activity
- Extended periods of inactivity
- Any other reason at our sole discretion
Effect of Termination: Upon termination:
- Your right to use the Services immediately ceases
- We may delete your account and data (subject to legal retention requirements)
- Provisions that by their nature should survive termination will remain in effect
15. Dispute Resolution and Governing Law
Governing Law:
- For Canadian users: These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
- For U.S. users: These Terms are governed by the laws of the State of Delaware and applicable federal laws, without regard to conflict of law principles.
Jurisdiction:
- Canadian users agree to the exclusive jurisdiction of the courts in Vancouver, British Columbia.
- U.S. users agree to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware.
Informal Resolution: Before filing any formal dispute, you agree to contact us at [email protected] to attempt to resolve the issue informally.
Class Action Waiver: You agree to bring claims only in your individual capacity and not as part of any class or representative action.
16. General Provisions
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Slate regarding your use of the Slate website. For Platform Partners, Merchants, and Workers, additional terms apply as set out in the applicable Terms and Conditions and applicable Agreements.
Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
Force Majeure: We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control.
Language: These Terms may be translated into other languages. In the event of any conflict, the English version shall prevail.
